Welcome to Ace Access ("Platform", "we", "us", or "our"). By accessing or using our services, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not use our Platform.

Ace Access is a marketplace that facilitates the purchase and sale of access rights to specified parcels of private land. These access rights are commonly referred to as "Perpetual Access Licenses" or "Access Tokens."

What you ARE purchasing:

• A perpetual, non-exclusive right to physically access a designated 3x3m parcel
• The ability to walk through, stand upon, or otherwise use the parcel for lawful recreational purposes
• A transferable license that can be resold or gifted to others
• Digital proof of your access rights via blockchain-verified tokens

What you are NOT purchasing:

• Land ownership or title to any real property
• Any equity interest, mineral rights, or development rights
• The right to build structures, camp overnight (unless explicitly stated), or make permanent alterations
• Exclusive use of the parcel (other users and the landowner may also access it)
• Any guarantee of privacy or solitude

As an access rights holder, you agree to:

• Respect the landowner's property and follow all posted rules and restrictions
• Leave no trace: remove all litter and belongings when you depart
• Not engage in illegal activities on the property
• Not disturb wildlife, livestock, or crops
• Not light fires unless explicitly permitted by the landowner
• Respect other access rights holders and members of the public
• Follow the UK Countryside Code and all applicable local laws
• Obtain appropriate insurance for your activities
• Not trespass on adjacent land not covered by your access rights

Platform Liability: Ace Access acts solely as a marketplace facilitator. We do not own, manage, or control the land to which access rights are sold. We are not liable for:

• Any injuries, damages, or losses incurred while using your access rights
• The condition, safety, or suitability of the land for any particular purpose
• Actions or omissions of landowners or other users
• Changes to land conditions, access routes, or features
• Disputes between users and landowners

Landowner Liability: Landowners are responsible for maintaining safe access routes and disclosing known hazards. However, users acknowledge that rural land is inherently unpredictable and accept responsibility for their own safety.

Insurance: We strongly recommend that all users obtain appropriate personal liability and accident insurance before exercising their access rights.

All transactions are processed securely through Stripe. By making a purchase, you agree to Stripe's terms of service.

Fee Structure:

• Platform Fee: 15% of the transaction value is retained by Ace Access
• Landowner Payment: 85% of the transaction value is paid directly to the landowner's connected Stripe account
• Payment processing fees are included in the platform fee

Prices are set by landowners and displayed in GBP (£). All payments are final upon completion.

General Policy: Due to the nature of perpetual access rights, all sales are final. Refunds are generally not available once a transaction is completed.

Exceptions: Refunds may be issued in the following circumstances:

• The landowner revokes access rights without valid legal justification
• The land becomes permanently inaccessible due to legal restrictions or natural disasters
• Fraudulent listing or misrepresentation by the landowner
• Technical errors resulting in duplicate charges

Refund requests must be submitted in writing to our support team within 30 days of the issue arising.

Access rights purchased through Ace Access are transferable. You may resell or gift your access token to another party, subject to the following conditions:

• Transfers must be conducted through the Ace Access platform
• The platform fee applies to resale transactions
• The new holder assumes all rights and responsibilities under these Terms
• Landowners cannot unreasonably restrict transfers

Landowners who list access rights on our Platform agree to:

• Provide accurate descriptions of the land and any restrictions
• Maintain reasonable access to the designated parcels
• Not unreasonably restrict or revoke access rights once sold
• Disclose known hazards or dangerous conditions
• Comply with all applicable laws and regulations
• Maintain appropriate insurance coverage
• Respond to user inquiries and disputes in good faith

Landowners acknowledge that 85% of sale proceeds will be paid to their connected Stripe account, with 15% retained as a platform fee.

In the event of a dispute between users and landowners, we encourage direct communication and resolution. If a dispute cannot be resolved directly:

• Contact our support team who will attempt to mediate
• Both parties agree to participate in good-faith mediation
• If mediation fails, disputes shall be resolved through binding arbitration in accordance with UK law
• The prevailing party may be entitled to recover reasonable legal fees

We are committed to protecting your privacy in accordance with the UK GDPR and Data Protection Act 2018. We collect and process personal data including:

• Contact information (email, name)
• Payment information (processed securely through Stripe)
• Access rights ownership records
• Usage data and communications

Your data is used solely for providing our services, processing transactions, and improving the Platform. We do not sell or share your personal information with third parties except as necessary to operate the Platform or as required by law.

All content on the Ace Access Platform, including text, graphics, logos, and software, is owned by Ace Access or our licensors and protected by copyright and trademark laws.

Users retain ownership of content they upload (property descriptions, photos, etc.) but grant us a worldwide, non-exclusive license to display and distribute this content as necessary to operate the Platform.

We reserve the right to suspend or terminate user accounts for:

• Violation of these Terms
• Fraudulent activity or misrepresentation
• Harassment or abusive behavior toward other users or landowners
• Illegal activities conducted on accessed land
• Failure to pay fees or chargebacks

Termination of an account does not void previously purchased access rights, which remain valid unless revoked for cause.

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of the Platform after changes constitutes acceptance of the new Terms.

For material changes that affect existing access rights, we will provide at least 30 days' notice via email to registered users.

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales.
